Test4Covid B.V. Terms and Conditions

Article 1: Definitions

1. Client: Any natural person or company that wishes to conclude or has concluded an agreement

    with Test4Covid.

2. Parties: Test4Covid B.V. and the Client together.
3. Agreement: The Agreement between the Parties.
4. Services: Services as described in the Agreement.
5. Test: the Non-Covid test that is administered.
6. Non-Covid-19 document: (International) travel document that is issued after taking a PCR test or a Rapid Antigen test.

Article 2: Applicability

1. The General Terms and Conditions apply to any legal act related to the preparation, conclusion or

     performance of the Agreement.

2. The applicability of any purchase or other conditions of the Client is excluded.

Article 3: Conclusion of the agreement

1. All offers from Test4Covid B.V. are non-binding.
2. Prior to concluding the Agreement, the Client must complete the digital registration form online, including acceptance of these General Terms and Conditions and pay the costs. The Agreement is only concluded when the Client has received confirmation of the test appointment by e-mail.

Article 4: Performance of the agreement

1. In order to implement the Agreement, the Client must do everything that is reasonably necessary to enable a timely and correct execution of the assignment. This in any case concerns, but is not limited to, the provision of the correct data where Test4Covid B.V. asks for.
2. If the start or progress of the Service is delayed due to circumstances that are at the expense and risk of the Client, such as the fact that the Client has not complied with the provision of the correct data, Test4Covid B.V. has the right to a reasonable postponement of the execution of the Agreement.
3. Test4Covid B.V. is entitled to engage qualified third parties for the execution of the agreement.

Article 5: Cancellation of appointments

1. The Client cannot cancel the Agreement with a refund of the payment.
2. The Client can change or reschedule the appointment 3 days prior to the booked date, taking into account the capacity of Test4Covid B.V. Changing or rescheduling the appointment can only be done online.
3. Test4Covid B.V. is entitled to reschedule an appointment that has already been made, provided that he has informed the Client of this at least 48 hours in advance.

Article 6: Test result and reliability

1. Despite the advanced technology, there is a very small chance of a so-called ‘false positive or false negative’ test result. The Client cannot derive any rights from the results of a test. Test4Covid B.V. accepts no liability for damage that the Client may suffer in that regard.
2. Although Test4Covid B.V. will make every effort to communicate the test result with the Client in a timely manner, legitimate circumstances may arise as a result of which the non-Covid-19 document is not issued to the Client on time. Test4Covid B.V. in that case accepts no liability for any damage resulting therefrom and or costs associated therewith.
3. The Client is responsible for checking whether the Non-Covid-19 document meets the conditions of the country of destination to which he or she is traveling.

Article 7: Price and payment

1. Client pays Test4Covid B.V. the amount as stated in the Agreement.
2. The Client is obliged to pay the agreed price prior to the Service. Payment of the amount is a condition for the conclusion of the Agreement.
3. The prices mentioned by Test4Covid B.V. are expressed in Euros and include sales tax (VAT).

Article 8: Privacy and confidentiality

1. This Privacy Statement is applied on the services of Test4Covid B.V..
2. The parties will treat all information exchanged in the context of the agreement confidentially. The information will not be disclosed to third parties, except in cases for which permission has been given and/or which have been reported in the privacy statement.

Article 9: Responsibilities of the Client

1. The client is responsible for providing the correct data to Test4Covid B.V.
2. Consuming food or drink just before the test can detract from a correct test result. This could include alcohol, but cigarettes, chewing gum or mouthwash that were consumed shortly before the test was taken can also influence the result. The Client will therefore not consume anything until 15 minutes prior to the test.
3. Wearing a face mask at the test location is mandatory, except during the administration of the test.
4. It is the Client’s responsibility to notify the physician of any medical conditions that may affect the test.
5. The Client will verify the Privacy Statement and the processing of its personal data. With the execution of the Agreement, the Client freely and unambiguously consents to the necessary processing. If the Client is younger than 16 years old, permission from parents or legal representative(s) is required.

Article 10. Liability

1. In the event that Test4Covid B.V. imputably fails in the performance, it is only obliged to pay any compensation if the Client has given notice of default after discovery of the shortcoming and Test4Covid B.V. subsequently failed to rectify this shortcoming within a reasonable period of time. The notice of default must be submitted in writing.
2. The liability of Test4Covid B.V. is limited to the total amount invoiced under the Agreement.
3. Test4Covid B.V. expressly excludes all liability related to indirect damage such as, but not limited to, trading loss, loss of profit and/or loss suffered, lost savings, damage due to business interruption, capital losses, delay damage, and immaterial damage.

Article 11: Force majeure

1. In the event of a force majeure situation, Test4Covid B.V. is not liable for the fact that it is unable to perform the Agreement.
2. Force majeure is understood to mean all circumstances that are beyond the control of Test4Covid B.V. and which temporarily or permanently prevent proper fulfillment of its obligations under the Agreement. These are in any case, but not limited to (a) failure to properly comply with suppliers of Test4Covid BV, (b) failure of or malfunctions of software of third parties involved in the execution of the Agreement, (c) illness of third parties that are necessary for the execution of the Agreement and (d) disruptions of electricity supply, internet, data network and/or telecommunication networks of which Test4Covid BV depends on.

Article 12. Changes to General Terms and Conditions

1. Test4Covid B.V. reserves the right to amend or supplement these Terms and Conditions.
2. Changes will be announced on the website. From the moment the amended terms and conditions are posted on the website, they will take effect.

Article 13 Applicable law

1. These general terms and conditions and agreements to which they have been declared applicable are exclusively governed by Dutch law.
2. Any disputes that may arise between the Parties will be submitted to the competent court in the district of Amsterdam.

Test4Covid B.V. Algemene Voorwaarden

Artikel 1: Definities

1. Opdrachtgever: Elke natuurlijk persoon of bedrijf dat met Test4Covid een overeenkomst wenst af te sluiten of heeft afgesloten.
2. Partijen: Test4Covid B.V. en Opdrachtgever tezamen.
3. Overeenkomst: De Overeenkomst tussen Partijen.
4. Diensten: Diensten zoals in de Overeenkomst omschreven.
5. Test: de Non-Covid-test die wordt afgenomen.
6. Non-Covid-19 document: (Internationaal) reisdocument dat wordt afgegeven na afname van een PCR-test of Antigeen test.

Artikel 2: Toepasselijkheid

1. De Algemene Voorwaarden zijn van toepassing op elke rechtshandeling die verband houdt met de voorbereiding, totstandkoming of de uitvoering van de Overeenkomst.
2. De toepasselijkheid van eventuele inkoop- of andere voorwaarden van Opdrachtgever wordt uitdrukkelijk uitgesloten.

Artikel 3: Totstandkoming van de overeenkomst

1. Alle aanbiedingen van Test4Covid B.V. zijn vrijblijvend.

2. Voorafgaande aan het sluiten van de Overeenkomst dient Opdrachtgever online het digitale formulier voor aanmelding in te vullen, inclusief aanvaarding van deze Algemene Voorwaarden en de kosten te betalen. Pas als Opdrachtgever per e-mail een bevestiging heeft ontvangen van de testafspraak, komt de Overeenkomst tot stand.

Artikel 4: Uitvoering van de overeenkomst

1. Om uitvoering te geven aan de Overeenkomst, dient Opdrachtgever al datgene te doen wat redelijkerwijs nodig is om een tijdige en juiste uitvoering van de opdracht mogelijk te maken. Dit betreft in ieder geval, maar is niet beperkt tot, verstrekking van de correcte gegevens waar Test4Covid B.V. om vraagt.
2. Indien de aanvang of de voortgang van de Dienst wordt vertraagd door omstandigheden die voor rekening en risico van Opdrachtgever komen, zoals het feit dat Opdrachtgever niet heeft voldaan aan de verstrekking van de correcte gegevens, heeft Test4Covid B.V. recht op een redelijk uitstel van de uitvoering van de Overeenkomst.
3. Test4Covid B.V. is gerechtigd om voor de uitvoering van de overeenkomst gekwalificeerde derden in te schakelen.

Artikel 5: Annulering van afspraken

1. Opdrachtgever kan de Overeenkomst niet annuleren met restitutie van de betaling.
2. Opdrachtgever kan de afspraak 3 dagen voorafgaand aan de geboekte datum wijzigen of verzetten, rekening houdend met de capaciteit van Test4Covid V. Het wijzigen of verzetten van de afspraak kan alleen online gebeuren.
3. Test4CovidV. is gerechtigd een reeds gemaakte afspraak te verplaatsen, mits hij de Opdrachtgever hiervan minimaal 48 uur van tevoren op de hoogte heeft gesteld.

Artikel 6: Uitslag test en betrouwbaarheid

1. Ondanks de geavanceerde technologie, is er een zeer kleine kans op een zogeheten ‘vals-positieve of valse negatieve’ testuitslag. Aan de uitslag van een test kan Opdrachtgever geen rechten ontlenen. Test4Covid V. aanvaardt geen aansprakelijkheid voor schade die Opdrachtgever in dat verband mocht lijden.
2. Hoewel Test4Covid V. zich te allen tijde zal inspannen om de testuitslag tijdig te communiceren met de Opdrachtgever, kunnen zich legitieme omstandigheden voordoen waardoor het non-Covid-19 document niet op tijd wordt afgegeven aan de Opdrachtgever. Test4Covid B.V. aanvaardt in dat geval geen aansprakelijkheid voor eventuele schade die daaruit voortvloeit en of kosten die daarmee samenhangen.
3. Opdrachtgever is zelf verantwoordelijk om na te gaan of het Non-Covid-19 document voldoet aan de voorwaarden van het land van bestemming waar hij of zij heen reist.

Artikel 7: Prijs en betaling

1. Opdrachtgever betaalt Test4Covid B.V. het bedrag zoals vermeld in de Overeenkomst.
2. Opdrachtgever is gehouden om de overeengekomen prijs voorafgaand aan de Dienst te betalen. Betaling van het bedrag is een voorwaarde voor de totstandkoming van de Overeenkomst.
3. Alle door Test4Covid B.V. genoemde prijzen zijn uitgedrukt in Euro’s en zijn inclusief omzetbelasting (btw).

Artikel 8: Privacy en vertrouwelijkheid

1. Op de dienstverlening van Test4Covid V. is het Privacy Statement van toepassing.
2. Partijen zullen alle informatie die in het kader van de overeenkomst wordt uitgewisseld vertrouwelijk behandelen. De informatie zal niet aan derden kenbaar worden gemaakt, behoudens de gevallen waarvoor toestemming is gegeven en/of waarvan melding is gedaan in het privacy statement.

Artikel 9: Verantwoordelijkheden Opdrachtgever

1. Opdrachtgever is verantwoordelijk voor het verstrekken van de juiste gegevens aan Test4CovidV.
2. Het consumeren van eten of drinken vlak voorafgaande aan de tets, kan afdoen aan een correcte testuitslag. Hierbij kan worden gedacht aan alcohol, maar ook sigaretten, kauwgom of mondwater die kort voor de afname van de test zijn genuttigd, kunnen de uitslag beïnvloeden. Opdrachtgever zal daarom tot aan 15 minuten voorafgaande aan de test niets meer consumeren.
3. Het dragen van een mondkapje op de testlocatie is, behoudens gedurende het afnemen van de test, verplicht.
4. Het is de verantwoordelijkheid van de Opdrachtgever om de arts op de hoogte te stellen van eventuele medische aandoeningen die van invloed kunnen zijn op de test.
5. Opdrachtgever vergewist zich van het Privacy Statement en de verwerking van diens persoonsgegevens. Opdrachtgever geeft met de uitvoering van de Overeenkomst vrijelijk en ondubbelzinnig toestemming voor de benodigde verwerkingen. Indien de Opdrachtgever jonger is dan 16 jaar, dan is toestemming van ouders(s) of wettelijke vertegenwoordiger(s) vereist.

Artikel 10. Aansprakelijkheid

1. Ingeval Test4Covid B.V. toerekenbaar tekortschiet in de nakoming, is zij uitsluitend gehouden tot betaling van enige schadevergoeding indien Opdrachtgever na ontdekking van de tekortkoming in gebreke heeft gesteld en Test4Covid B.V. deze tekortkoming vervolgens niet binnen een redelijke termijn heeft hersteld. De ingebrekestelling dient schriftelijk te zijn ingediend.
2. De aansprakelijkheid van Test4Covid B.V. is beperkt tot het totale bedrag dat in het kader van de Overeenkomst is gefactureerd.
3. Test4Covid B.V. sluit uitdrukkelijk alle aansprakelijkheid uit die ziet op indirecte schade zoals, maar niet beperkt tot, bedrijfsschade, winstderving en/of geleden verlies, gemiste besparingen, schade door bedrijfsstagnatie, vermogensverliezen, vertragingsschade, en immateriële schade.

Artikel 11:  Overmacht

1. In geval van een overmacht situatie is Test4Covid V. niet aansprakelijk voor het feit dat zij de Overeenkomst niet kan uitvoeren.
2. Onder overmacht wordt verstaan alle omstandigheden die buiten de invloedssfeer van Test4Covid V. vallen en die een behoorlijke nakoming van haar verplichtingen onder de Overeenkomst tijdelijk of blijvend verhinderen. Dit zijn in ieder geval, maar niet beperkt tot (a) het niet naar behoren nakomen van toeleveranciers van Test4Covid B.V., (b) het falen van of storingen aan van programmatuur van bij de uitvoering van de Overeenkomst betrokken derden, (c) ziekte van derden die noodzakelijk zijn bij de uitvoering van de Overeenkomst en (d) storingen van elektriciteitsaanvoer, internet, datanetwerk- en/of telecommunicatienetwerken van waarvan Test4Covid B.V. afhankelijk van is.

Artikel 12. Wijziging Algemene Voorwaarden

1. Test4Covid B.V. behoudt zich het recht voor deze Algemene Voorwaarden te wijzigen of aan te vullen.
2. Wijzigingen worden bekend gemaakt via op de website. Vanaf het moment dat de gewijzigde voorwaarden op de website staan, gaan deze van kracht.

Artikel 13 Toepasselijk recht

1. Deze algemene voorwaarden en overeenkomsten waarop zij van toepassing zijn verklaard, worden uitsluitend beheerst door Nederlands recht.
2. Voor alle geschillen die mochten ontstaan tussen Partijen geldt dat zij zullen worden voorgelegd aan de bevoegde rechter in arrondissement te Amsterdam.
